Innovative startup vs innovative SME in Italy: which status fits your company

Italy has two labels for companies that innovate. One expires, the other asks for more proof; here is how to pick.

Which status can a foreign company or an established business use?

If your company already exists and is more than a couple of years old, the innovative SME status is usually the one within reach. The startup status has two conditions that rule out many established businesses: the company must be under 60 months old, and it cannot be created by transferring an existing business or business unit into it. So a foreign company that moves its Italian operations into a new entity will not qualify as a startup, while the same entity may qualify as an innovative SME.

Both statuses share three gates. The company must be a limited company (or a cooperative) whose shares are not listed; it must be resident in Italy, or in the EU/EEA with a production site or branch in Italy; and it must be an SME under the European Commission definition: fewer than 250 staff and either up to €50 million turnover or up to €43 million balance sheet, counting partner and linked companies where they apply.

How do the requirements differ?

Innovative startup (art. 25, Decree-Law 179/2012) vs innovative SME (art. 4, Decree-Law 3/2015), October 2026

The SME thresholds look gentler one by one, but you need two of them and an auditor's signature on your accounts. The legal texts are on Normattiva: article 4 of Decree-Law 3/2015 for innovative SMEs.

Which benefits do you keep, and which do you lose?

Article 4(9) of Decree-Law 3/2015 gives innovative SMEs most of the corporate and funding tools of the Startup Act, but not the employment rules, the simplified insolvency regime or the exemption from Chamber of Commerce fees.

  • Both statuses: stamp duty exemption on Companies Register filings; classes of shares and public offers of shares even in an SRL; more time to absorb losses; paying staff and suppliers in equity; equity crowdfunding; simplified access to the SME Guarantee Fund, which lists an 80% direct guarantee for both on certain operations through banks or guarantee consortia.
  • Startups only: exemption from filing fees and the annual Chamber of Commerce fee, up to the fifth year; Smart&Start Italia, the interest-free loan run by Invitalia; more flexible employment contracts; the fail-fast insolvency rules.

Equity for work is often the deciding perk for a small team, and it applies to both: see paying developers with equity for how it works in practice. Investor tax relief is a different story. Both laws contain it, but as of October 2026 sources disagree on whether it applies; do not promise it to an investor without a professional's confirmation.

Can an innovative startup become an innovative SME?

Yes, and the ministry says the switch can happen without a gap, provided the company meets the SME requirements: audited accounts and two innovation tests. You cannot hold both labels at once, so the company leaves one register section and enters the other.

companies the ministry ordered off the startup register because they had passed the 60-month limit by December 2024, with an invitation to move to the innovative SME section; 817 over-age startups were still listed in March 2025Source: MIMIT, directorial circular of 29 July 2025

The lesson from that clean-up: plan the switch a year ahead. Getting accounts audited and documenting a second innovation test takes longer than the paperwork itself. The July 2025 circular also confirms that a startup losing its status because it missed the year-three conditions may register as an innovative SME if it qualifies.

How should you choose between the two?

Our three-question check

  1. How old is the company, and how was it formed?

Under two years and built from scratch: the startup route is open, so register early. Older than 60 months, or formed by transferring an existing business: only the SME route remains.

  2. How many innovation tests can you prove today?

One: startup. Two or three, plus accounts you can have audited: either, and the SME label does not expire.

  3. What do you need in the next 18 months?

If Smart&Start, lower Chamber fees or flexible hiring matter, the startup status pays off. If equity flexibility, crowdfunding and the guarantee fund are enough, the SME status covers you.

Both statuses sit on top of an Italian company, so the setup costs come first: notary, registration tax and the first-year running costs are in our guide to setting up a startup in Italy.

Frequently asked questions

Can a company hold both statuses at the same time?

No. An innovative SME must not be registered in the startup section, so the company leaves one section before joining the other.

Does an innovative SME need audited accounts?

Yes. Article 4 of Decree-Law 3/2015 requires the last annual accounts, and any consolidated accounts, to be certified by an auditor. Budget for it every year.

Can an innovative SME apply for Smart&Start Italia?

No. Smart&Start is reserved for innovative startups on the special register and for teams of individuals who commit to setting one up.

Can the Italian branch of an EU company qualify?

Both statuses accept companies resident in another EU or EEA country with a production site or branch in Italy, as long as the group is an SME and every other requirement is met. Check the size test carefully if the parent company is large.

How long does the innovative SME status last?

There is no fixed end date. The company stays registered as long as it remains an SME, has certified accounts and passes at least two of the three innovation tests.
